1. Agreement to Terms

By accessing or using TranscribeAI ("Service"), operated by TranscribeAI ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, whether as a free user or paid subscriber.

2. Description of Service

TranscribeAI provides AI-powered transcription services for audio and video files through our web application at app.audiototext.site. Our Service includes:

• Audio and Video Transcription: High-accuracy conversion of spoken content to text
• Speaker Identification: Automatic speaker diarization and labeling
• AI Analysis: Sentiment analysis, topic detection, entity recognition
• Multiple Export Formats: TXT, SRT, VTT, DOCX, PDF, JSON
• Team Collaboration: Share transcriptions with team members
• Custom Vocabulary: Industry-specific term recognition
• Batch Processing: Upload and process multiple files simultaneously

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that:

• You meet this age requirement
• You have the legal capacity to enter into these Terms
• You will provide accurate and complete registration information
• You will not create an account using false information or impersonate others

3.2 Account Security

You are solely responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized access or security breach
• Ensuring your account information remains accurate and up-to-date
• Using a strong, unique password for your account

3.3 Account Termination

You may delete your account at any time through your account settings. Upon deletion, your data will be retained for 30 days for recovery purposes, after which it will be permanently deleted. We may terminate or suspend your account immediately if you violate these Terms.

4. Subscription Plans and Billing

4.1 Free Trial

New users receive a 7-day free trial with access to premium features. You must provide valid payment information to start your trial. Your subscription will automatically begin after the trial period unless you cancel.

4.2 Pricing

Current subscription pricing:

• Pro Plan: $9.99/month for unlimited transcriptions
• Team Members: $9.99/month per additional team member

All prices are in USD and exclude applicable taxes.

4.3 Payment Processing

Payments are processed securely through Stripe, our third-party payment processor. By providing payment information, you:

• Authorize us to charge your payment method for subscription fees
• Agree to Stripe's Terms of Service
• Represent that you are authorized to use the payment method
• Agree to promptly update your payment information if it changes

4.4 Billing Cycle and Auto-Renewal

Subscriptions are billed monthly on the anniversary of your subscription start date. Your subscription will automatically renew unless you cancel before the renewal date. You authorize us to charge your payment method each billing cycle.

4.5 Refund Policy

We offer refunds under the following conditions:

• 7-Day Money-Back Guarantee: Full refund if requested within 7 days of initial purchase
• Service Issues: Partial refunds may be issued for significant service disruptions
• Processing: Refunds are issued to the original payment method within 5-10 business days

After 7 days, subscription fees are non-refundable. Unused portions of billing periods are not refunded upon cancellation.

4.6 Price Changes

We reserve the right to modify pricing with 30 days' advance notice via email. Existing subscribers will be grandfathered at their current rate for 90 days after the price change. Continued use after the grace period constitutes acceptance of the new pricing.

4.7 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date.

4.8 Failed Payments

If a payment fails, we will attempt to process it again. After multiple failed attempts, your subscription may be suspended or canceled. You remain responsible for any outstanding fees.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service only for:

• Transcribing content you own or have rights to transcribe
• Personal, educational, or commercial purposes that comply with applicable laws
• Creating accessible content through captions and transcripts

5.2 Prohibited Activities

You agree NOT to:

• Upload content that violates any laws, regulations, or third-party rights
• Upload content containing viruses, malware, or malicious code
• Attempt to reverse engineer, decompile, or extract source code from the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Impersonate others or provide false information
• Interfere with or disrupt the Service or servers
• Upload copyrighted material without proper authorization
• Resell or redistribute transcription services without authorization
• Bypass any security measures or access restrictions
• Use the Service to spam or harass others

5.3 Content Restrictions

You may not upload content that is:

• Illegal, harmful, threatening, abusive, or harassing
• Defamatory, vulgar, obscene, pornographic, or sexually explicit
• Promoting illegal activities, violence, or terrorism
• Infringing on intellectual property or privacy rights
• Containing personal information of others without consent
• Misleading or fraudulent

5.4 Fair Use Policy

While we offer unlimited transcriptions, we reserve the right to limit usage that we deem excessive or abusive, including:

• Processing thousands of files per day for commercial resale
• Using the Service to train competing AI models
• Systematic bulk downloading of transcriptions
• Any use that degrades service performance for other users

6. Intellectual Property Rights

6.1 Your Content

You retain all ownership rights to the audio and video files you upload ("Your Content"). We do not claim any ownership of Your Content. You are solely responsible for Your Content and the consequences of uploading it.

6.2 License You Grant to Us

By uploading Your Content, you grant us a limited, non-exclusive, worldwide license to:

• Store Your Content on our servers
• Process Your Content for transcription using our AI systems
• Display transcriptions in your account
• Share Your Content and transcriptions with team members you designate
• Make backup copies for disaster recovery

This license exists solely to provide the Service and ends when you delete Your Content or terminate your account.

6.3 AI Training and Service Improvement

We may use anonymized, aggregated data derived from transcriptions to improve our AI models and Service quality. We will NEVER:

• Use your specific content for AI training without explicit consent
• Share your content with third parties for training purposes
• Sell or license your content to others
• Use your content for purposes beyond providing the Service

6.4 Our Intellectual Property

The Service and its original content, features, and functionality are owned by TranscribeAI and protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. This includes:

• The TranscribeAI name, logo, and branding
• The website design, user interface, and graphics
• Our proprietary algorithms and technology
• Software code, databases, and architectures

You may not copy, modify, distribute, or create derivative works based on the Service without our written permission.

6.5 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us the right to use them without any obligation to compensate you.

7. Service Availability and Limitations

7.1 Uptime and Reliability

We strive for 99.9% uptime but cannot guarantee uninterrupted or error-free service. The Service may be unavailable due to:

• Scheduled maintenance (with advance notice when possible)
• Emergency maintenance or security updates
• Third-party service provider outages
• Force majeure events beyond our control

7.2 File Specifications

Current service limits:

• File Size: Maximum 25MB per file for standard uploads
• Supported Audio Formats: MP3, WAV, M4A, FLAC, OGG, AAC
• Supported Video Formats: MP4, MOV, AVI, MKV, WEBM
• Duration: No hard limit (subject to fair use policy)
• Languages: 50+ languages supported

7.3 Transcription Accuracy

While we strive for high accuracy, transcription quality depends on:

• Audio quality and clarity
• Speaker accents and dialects
• Background noise levels
• Technical terminology and jargon
• Number of speakers and cross-talk

We do not guarantee 100% accuracy. Always review transcriptions for critical applications.

7.4 Service Modifications

We reserve the right to:

• Modify or discontinue any part of the Service with reasonable notice
• Add or remove features
• Change file size limits or other specifications
• Update our AI models and technology

Material changes will be communicated via email or in-app notifications.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Key points:

• We collect personal information as described in our Privacy Policy
• We use encryption to protect your data in transit and at rest
• We comply with GDPR, CCPA, and other privacy regulations
• You have rights to access, correct, and delete your data
• We do not sell your personal information

9. Team Collaboration Features

When using team collaboration features:

• Team Ownership: Team owners are responsible for billing and managing members
• Shared Access: Content shared with a team is accessible to all team members according to their role
• Member Responsibility: Team owners must ensure all members comply with these Terms
• Billing: Team owners are billed $9.99/month for each additional team member
• Access Revocation: Removing a team member immediately revokes their access to shared content
• Data Retention: Shared transcriptions remain available to the team even if the original uploader leaves

10. Disclaimer of Warranties

IMPORTANT: PLEASE READ THIS SECTION CAREFULLY

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES REGARDING ACCURACY OF TRANSCRIPTIONS
• WARRANTIES OF UNINTERRUPTED OR ERROR-FREE OPERATION
• WARRANTIES REGARDING SECURITY OR DATA LOSS PREVENTION
• WARRANTIES THAT DEFECTS WILL BE CORRECTED

We do not warrant that:

• The Service will meet your specific requirements
• Transcriptions will be 100% accurate for all content
• The Service will be available at all times
• Any errors or bugs will be fixed promptly
• The Service is suitable for any particular use case

You acknowledge that transcription technology has inherent limitations and that accuracy may vary. You assume all risk for relying on transcriptions produced by the Service.

11. Limitation of Liability

IMPORTANT: THIS SECTION LIMITS OUR LIABILITY TO YOU

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TRANSCRIBEAI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

11.1 Types of Damages

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, use, goodwill, or other intangible losses
• Damages resulting from unauthorized access to or alteration of your content
• Damages from service interruptions, delays, or downtime
• Damages from errors, mistakes, or inaccuracies in transcriptions
• Damages from any third-party conduct or content
• Damages from loss or corruption of your files

11.2 Cap on Liability

Our total cumulative liability to you for all claims arising from or related to the Service shall not exceed the greater of:

• The amount you paid us in the 12 months preceding the claim, OR
• $100 (USD)

11.3 Basis of the Bargain

These limitations apply whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis. These limitations will apply even if we have been advised of the possibility of such damages.

The limitations in this section reflect an informed, voluntary allocation of risk between you and us. This allocation is an essential element of the agreement between you and us.

11.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless TranscribeAI, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property or privacy rights
• Your Content and any claims related to it
• Any misrepresentation made by you
• Your breach of any laws or regulations

This indemnification obligation will survive termination of these Terms and your use of the Service.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

13.2 Informal Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@audiototext.site. We will attempt to resolve the dispute informally within 60 days.

13.3 Binding Arbitration

If the dispute cannot be resolved informally, you agree that any dispute arising from these Terms or the Service will be resolved through binding arbitration, except for disputes that may be brought in small claims court.

Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in Delaware or another mutually agreed location.

13.4 Class Action Waiver

YOU AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. You waive any right to participate in class actions, class arbitrations, or representative proceedings. Claims may not be consolidated or joined with claims of other users.

13.5 Exceptions

Nothing in this section prevents either party from seeking injunctive or equitable relief in court for:

• Intellectual property infringement
• Unauthorized access to the Service
• Violations of this Terms of Service

13.6 Jurisdiction

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of courts in Delaware.

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

• Accessing your account settings and selecting "Delete Account"
• Contacting our support team

Upon termination, you will lose access to the Service and your data will be scheduled for deletion after a 30-day recovery period.

14.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if:

• You breach these Terms
• You engage in illegal activity
• You violate our Acceptable Use Policy
• Your payment method fails repeatedly
• You abuse or misuse the Service
• We are required to do so by law

14.3 Effect of Termination

Upon termination:

• Your right to use the Service immediately ceases
• Your account and data will be deleted after 30 days
• Provisions of these Terms that should survive (indemnification, limitations of liability, etc.) will continue to apply
• No refunds will be provided for remaining subscription time (unless required by law)

14.4 Data Export

You may export your transcriptions at any time before account deletion. After deletion, data cannot be recovered.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and us regarding the Service.

15.2 Waiver

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right under these Terms does not constitute a waiver of that right.

15.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms otherwise remain in full force and effect.

15.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms without restriction.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

15.6 Force Majeure

We shall not be liable for any failure to perform our obligations under these Terms due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

15.7 Export Controls

The Service may be subject to export control laws. You agree to comply with all applicable international and national laws including US Export Administration Regulations and International Traffic in Arms Regulations.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on this page
• Updating the "Last Updated" date
• Sending email notification to your registered email address
• Displaying a prominent notice in the Service

Material changes will take effect 30 days after notice is provided. Non-material changes take effect immediately. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

If you do not agree to the modified Terms, you must stop using the Service and may terminate your account.
